These Terms of Service govern your use of Prael, the AI personal assistant built by Prael Inc. They explain how Prael works, what you can expect from us, what we expect from you, and the limits of our responsibility when Prael acts on your behalf. By creating an account or using Prael, you agree to these Terms and our Privacy Notice.
1. About these Terms and who we are
Welcome to Prael. These Terms of Service govern your use of Prael wherever you are.
Prael is an AI personal assistant. It is not a bank, a broker, a travel agent, a lawyer, a doctor, or any other kind of licensed professional. Prael acts only on your instructions, and only after you approve each action that spends money, sends a message, books, cancels, deletes, or changes an account. By creating an account or using Prael, you agree to these Terms, our Privacy Notice, and any feature-specific terms we present to you. If you do not agree, please do not use Prael.
1.1.These Terms of Service (the “Terms”) are a binding agreement between you (“you”, “your”, the “user”) and Prael Inc., a Delaware corporation (“Prael”, “we”, “us”, “our”). They govern your access to and use of Prael, including the Prael web and mobile application at app.prael.ai, the Prael assistant as made available through iMessage, SMS, WhatsApp, Telegram, and in-app messaging, the Prael email address assigned to you, and all related products, features, and services (together, the “Services”).
1.2.Prael is an AI assistant that researches, answers questions, and completes tasks on your behalf, including shopping and checkout, paying bills and merchants, travel and restaurant bookings, food orders, managing subscriptions and refunds, scheduling appointments, sorting your inbox, and sending reminders. When Prael completes a task, it does so with merchants, service providers, websites, and apps that are not operated by Prael (each a “Third-Party Provider”). Your purchase, booking, or other dealing with a Third-Party Provider is governed by that Third-Party Provider’s own terms, which you accept when you approve the action.
1.3.Where these Terms and a Third-Party Provider’s terms both apply to a transaction and they conflict, the Third-Party Provider’s terms control for that transaction to the extent of the conflict. These Terms continue to govern your relationship with Prael and the Prael platform.
1.4.Additional terms apply to specific features (for example, the Prael wallet, saved cards, the Vault, and connected apps). Those additional terms form part of these Terms when you use the relevant feature. If there is a conflict, the feature-specific terms control for that feature.
2. Definitions
“Account” means your Prael profile, created with your mobile phone number, and everything accessible through it, including your Wallet, Vault, Memory, Activity history, connected apps, and Prael email address.
“Action” means any task Prael carries out on your behalf with a Third-Party Provider or a connected app, including a purchase, payment, booking, order, cancellation, message, or change to an account.
“Approval” means your express confirmation, given in the chat or in-app, authorising Prael to carry out a specific Action with the details Prael has presented to you.
“Channel” means the messaging service through which you communicate with Prael: iMessage, SMS, WhatsApp, Telegram, or in-app messaging.
“Content” means text, messages, files, photos, instructions, preferences, and other materials you submit to or generate through the Services.
“Fees” means the charges that apply to the Services, as disclosed in-app or before you approve an Action.
“Memory” means the preferences and details Prael saves about you (such as dietary needs, home airport, and delivery addresses) to personalise the Services, which you can view, edit, and delete at app.prael.ai/memory.
“Vault” means the encrypted store in which your saved sign-ins for third-party sites, saved cards, and one-time codes are held.
“Wallet” means the prepaid balance held in USDC on the Polygon network that you fund and from which Prael pays for Actions you approve.
3. Eligibility
3.1.To use the Services you must be at least 18 years old, have the legal capacity to enter into a binding contract, and not be barred from using the Services under any applicable law. Prael is for adults 18 and over. We do not knowingly allow individuals under 18 to use the Services.
3.2.Prael is available in the countries and regions we support from time to time. Some features (for example, particular Channels, merchants, payment methods, currencies, or connected apps) may not be available where you live or on your device. We may add or withdraw supported countries, Channels, features, merchants, and integrations at any time, and we may determine availability based on your device, your phone number, your location, and the information you provide. You are responsible for making sure that your use of Prael is lawful where you are.
3.3.You may not use the Services if you are located in, ordinarily resident in, or organised under the laws of any country or region subject to comprehensive sanctions, or if you are a person with whom dealings are restricted under the economic sanctions and trade laws administered by the US Department of the Treasury’s Office of Foreign Assets Control (OFAC) or any other applicable sanctions authority. You represent that you are not such a person and are not acting on behalf of one.
3.4.You must have a mobile phone number capable of receiving SMS messages, and an account in good standing with the Channel you choose to use (for example, Apple, WhatsApp, or Telegram). Your use of a Channel is also subject to that Channel’s own terms.
4. Registration, identity verification, and security
4.1.Account creation: You sign up with your mobile phone number. A one-time code sent to that number verifies your Account, after which you choose your Channel. You must provide accurate, current, and complete information when you register and keep it up to date. You are responsible for all activity under your Account, including every instruction sent to Prael from your phone number, your Channel account, or your Prael email address.
4.2.Identity verification (KYC): Because the Services include a Wallet and payments, we may be required by anti-money-laundering, counter-terrorist-financing, and sanctions laws in the countries where we operate (including, in the United States, the Bank Secrecy Act and the USA PATRIOT Act) to verify your identity before or while you use certain features. We (and our partners) may collect and verify information about you, which may include your name, date of birth, residential address, and government-issued identification. We may ask for additional documents and may re-verify your identity at any time. We may refuse, restrict, suspend, or close an Account, or limit Wallet funding and payment features, if we cannot verify your identity or complete required screening.
4.3.Sanctions and financial-crime screening: We and our partners screen users and transactions for sanctions, fraud, money-laundering, and terrorist-financing risk. We may delay, decline, freeze, or reverse a Wallet deposit, payment, or other Action, or request more information, to meet these obligations.
4.4.Your security responsibilities: Your phone number and Channel account are the keys to your Account. Anyone who can send messages from your phone number, your Channel account, or your Prael email address can instruct Prael, and we are entitled to treat any instruction or Approval received from them as yours. You must keep your device, SIM, Channel accounts, and one-time codes secure, and use the lock, biometric, and two-factor features your device and Channels offer. Tell us immediately, using the contact details in Section 23, if you suspect unauthorised access to your Account, device, phone number, or Channel account, or if you lose your phone or change your number. Until you tell us, you are responsible for all instructions and Approvals given through your Account, and we are not liable for any Action carried out on the strength of them, except to the extent the law provides otherwise.
4.5.Spending limits: You may set spending limits for Prael in-app. We recommend that you do so. We may also set and change default limits for legal, risk, fraud-prevention, or operational reasons.
5. How Prael works: instructions, approvals, and acting on your behalf
5.1.Your instructions: You instruct Prael in plain language through your Channel. Prael interprets your request, may ask clarifying questions, researches, and proposes an Action. Prael may misunderstand an instruction. You are responsible for reviewing the details Prael presents before you approve an Action.
5.2.Approval before any Action: Before Prael spends money, sends a message, books, cancels, deletes, or changes an account, it stops and asks you to approve the Action. Prael confirms the key details (for example, merchant, item, amount, date, time, recipient, or account) and records your Approval. Prael will not carry out such an Action without your Approval. Prael may carry out purely informational tasks (for example, research, reading connected apps you have linked, or drafting) without a separate Approval.
5.3.Your Approval is your authorisation: When you approve an Action, you authorise Prael to carry it out on your behalf, using the details presented, and to debit the applicable amount and Fees from your Wallet or saved card. Your Approval has the same effect as if you had carried out the Action yourself, including accepting the Third-Party Provider’s terms and any charges, cancellation rules, or restrictions that apply. You are responsible for checking the details before you approve, and once you have approved, you cannot hold us responsible for an Action that matches what you approved. Some Actions cannot be stopped or reversed once approved; we tell you when that is the case before you approve.
5.4.Carrying out Actions: Prael carries out Actions by interacting with Third-Party Providers’ websites, apps, and services, including by signing in with credentials held in your Vault, filling in forms, placing orders, and using a single-use payment card issued for that Action. Prael may not be able to complete an Action, for example because a Third-Party Provider’s site is unavailable, blocks automated access, requires a verification step Prael cannot complete, or changes its terms or prices before checkout. Where an Action cannot be completed, Prael will tell you.
5.5.Variations: If the final price, availability, or other material detail of an Action differs from what you approved, Prael will ask you to approve the Action again before proceeding, except for minor variations in taxes, delivery charges, or tips that fall within any limit you have set.
5.6.Confirmations and Activity history: Confirmations and receipts for completed Actions are sent to you in the chat or by email. A record of what Prael did for you is available at app.prael.ai/activity. You should review it regularly and tell us promptly about any Action you did not approve.
5.7.Memory and personalisation: Prael saves preferences and details you share to personalise the Services. You can view, edit, and delete your Memory at app.prael.ai/memory at any time. Prael uses Memory only to carry out the tasks you request.
5.8.Our right to decline: We may decline, pause, or limit any instruction or Action at any time, including where we consider it unlawful, unsafe, outside Prael’s capabilities, contrary to a Third-Party Provider’s terms, or a risk to you, to us, or to others. We will tell you where we can, but we are not obliged to give reasons.
5.9.No fiduciary or professional relationship: Prael acts on your instructions as a software tool. Nothing in these Terms creates a fiduciary, agency-at-law, employment, partnership, or professional-adviser relationship between you and Prael, and we do not owe you duties beyond those set out in these Terms and in mandatory law.
6. Wallet, saved cards, and payments
6.1.Funding your Wallet: Your Wallet is a prepaid balance held in USDC on the Polygon network. You fund it by depositing USDC to the deposit address shown in-app or by the funding methods shown in-app. Deposits are credited once confirmed on the Polygon network. Only USDC on the Polygon network may be sent to your Wallet address; assets sent on another network or in another token may be permanently lost, and Prael is not responsible for them.
6.2.Paying for Actions: When you approve an Action, Prael pays the Third-Party Provider using a single-use payment card issued for that exact amount and merchant, funded from your Wallet or charged to a card you have saved in your Vault. Where the amount charged by the Third-Party Provider is less than the amount reserved, the difference is returned to your Wallet.
6.3.Saved cards: You may add and use only payment cards issued in your own legal name. You may use a third-party card only if you are an authorised user of it and the authorisation can be verified by us. Using another person’s card without their explicit, documented consent, or using a stolen, cloned, or otherwise fraudulently obtained card, is strictly prohibited. We and our processing partners may carry out identity and transaction checks and may require additional authentication before processing a card transaction. A breach of these rules may lead to rejection of the transaction, a hold or review, restriction, suspension, or closure of your Account, and, in cases of confirmed fraud, reporting to the relevant authorities.
6.4.Withdrawals: You may withdraw the available USDC balance in your Wallet to an external Polygon address you control, subject to any required checks, network fees, and limits disclosed in-app.
6.5.No interest, no investment: No interest or yield is paid on your Wallet balance. The Wallet is a payment tool for Actions you approve. Prael does not provide investment, tax, or financial advice, and nothing in the Services is a recommendation to buy, sell, or hold any digital asset.
6.6.Network risks: Transactions on the Polygon network are recorded on a public blockchain, are generally irreversible, and depend on the operation of that network, which Prael does not control. Prael is not responsible for delays, failures, forks, or losses caused by the Polygon network, the USDC issuer, or any wallet or exchange you use to fund or withdraw from your Wallet.
6.7.Currency conversion: Your Wallet is held in USDC. Payments are made in US dollars. Where we convert USDC to US dollars to fund a payment, the rate and any spread applied are disclosed to you at the time of the Action.
7. The Vault, connected apps, and your Prael email address
7.1.The Vault: You may save sign-ins for third-party sites and payment cards in the Vault so that Prael can sign in and pay on your behalf. The Vault is encrypted. Passwords, card numbers, and one-time codes held in the Vault are never shown to the AI model, which cannot type them in or ask you for them. A secret is only filled in on the website it belongs to, and never on an insecure (non-HTTPS) page. You may delete any saved sign-in or card at any time.
7.2.Your authority to save sign-ins: By saving a sign-in, you confirm that the account belongs to you or that you are authorised to use it, and that Prael’s use of it on your behalf does not breach the terms of the relevant site. Some sites prohibit automated access or the sharing of credentials. You are responsible for checking those terms, and Prael is not liable if a Third-Party Provider suspends or closes your account with it because of Prael’s access.
7.3.Connected apps: You may optionally connect apps such as Gmail, Google Calendar, Slack, Notion, and Linear. Connected apps are accessed through our integration provider, and only to perform the tasks you ask for. We read and act on connected-app data only to carry out your requests. You can disconnect an app at any time in-app or through the app’s own settings. Your use of a connected app remains subject to that app’s terms and privacy notice.
7.4.Your Prael email address: We assign you a Prael email address to which you (or senders you approve) can forward emails such as booking confirmations and sign-in codes. Emails from new senders wait until you approve the sender. Content from websites and emails is treated by Prael as information only, never as instructions. You must not use your Prael email address to send or receive unlawful content or to register for services on behalf of anyone else.
7.5.One-time codes: Where a Third-Party Provider sends a one-time sign-in code to your connected or forwarded mail, Prael matches the code to the site being signed into and fills it in automatically. The code is never shown to the AI model.
8. Third-party merchants, bookings, and services
8.1.Prael is not a party to your transactions with Third-Party Providers. When Prael buys a product, books a flight, hotel, restaurant, or appointment, places a food order, pays a bill, or manages a subscription on your behalf, the contract for that product or service is between you and the Third-Party Provider. Prael does not sell, supply, deliver, or guarantee any product or service obtained through Prael.
8.2.Third-Party Provider terms apply: Each Action is subject to the Third-Party Provider’s own terms, prices, availability, cancellation and refund policies, and age or eligibility rules. By approving an Action you accept those terms. Prael will show you the key terms it can identify before you approve, but you are responsible for reviewing them.
8.3.Refunds, cancellations, and disputes with Third-Party Providers: Prael can help you request a refund, cancel a booking or subscription, or raise an issue with a Third-Party Provider, but the outcome depends on the Third-Party Provider’s policies and decisions. Prael does not guarantee that a refund or cancellation will be obtained. Where a refund is paid, it is returned to the payment method used, and refunds to the single-use card are credited to your Wallet when received.
8.4.Subscriptions: If you ask Prael to sign up for, manage, or cancel a subscription, you remain responsible to the Third-Party Provider for all charges until the cancellation takes effect under that provider’s terms.
8.5.Deliveries and appointments: Delivery of goods and attendance at bookings are your responsibility and the Third-Party Provider’s. Prael relies on the delivery address, time, and other details in your Memory or your instructions; keep them accurate.
8.6.Links and recommendations: Prael may suggest products, merchants, or services. Suggestions are generated by the AI model based on your request and available information, and are not endorsements or advice.
9. Transactions, holds, errors, and disputes
9.1.Limits and holds: We and our partners may set and change transaction, balance, and velocity limits, and may place holds on Wallet funds or Actions, for legal, risk, fraud-prevention, or operational reasons. When Prael reserves funds for an approved Action, those funds are unavailable until the Action completes or the reservation is released.
9.2.Insufficient funds, reversals, and recovery: If an Action is funded in error, reversed by a Third-Party Provider or card issuer, or results in a negative balance, you must repay the amount owed. We may set off amounts you owe against your Wallet balance, to the extent permitted by law.
9.3.Reporting errors and unauthorised Actions: If you think there is an error on your Account, that an Action was carried out without your Approval, or that an Action was carried out differently from what you approved, contact us as soon as possible at support@prael.ai.
9.4.How we handle disputes: When you raise a dispute, we will investigate and may ask you for information such as the relevant chat history, Activity record, proof of the transaction, and identification. We will tell you the outcome within the timeframes required by applicable law and, for card transactions, by the applicable card-network rules. Where a dispute is resolved in your favour we will credit the amount due to your Wallet or the payment method used.
9.5.When we return, reverse, or hold funds: We and our partners may decline, hold, reverse, return to source, or recover funds where: (a) an Action cannot be completed or is rejected by the Third-Party Provider, in which case reserved funds are returned to your Wallet; (b) a transaction is recalled, charged back, or reversed by a card issuer, payment scheme, or counterparty; (c) funds are credited to your Wallet in error, in duplicate, or as a result of a system or processing error; (d) an Action, your Account, or a funding source is under review for suspected fraud, money laundering, sanctions, or other legal or risk concerns, or we are required to act by law, a partner, a court, or a regulator; (e) you owe amounts to Prael; or (f) payment-scheme rules require the return, reversal, or recovery. Returning funds to source does not by itself mean that an Action was unauthorised, and it does not limit any error-resolution right you have under these Terms.
9.6.Requests for information (RFI) and account reviews: To meet our legal and risk obligations, we may review your Account, a transaction, or your funding sources at any time, and may ask you to provide additional information or documents. You agree to respond accurately, completely, and within the timeframe stated. While a review is open, we may hold or delay the affected funds and may limit activity on your Account. If you do not respond by the stated deadline, respond incompletely, or provide information we are unable to verify, then to the extent permitted by law we may place or maintain a hold, decline or return the affected funds, restrict, suspend, or close your Account under Section 16, and, where required, report the matter to the relevant authorities. We will return any remaining balance you are entitled to as described in Section 16 and as required by law.
10. Messaging channels and electronic communications (E-SIGN consent)
10.1.Consent to receive messages: By signing up with your phone number and choosing a Channel, you consent to receive messages from Prael through that Channel, including one-time codes, clarifying questions, Approval requests, confirmations, receipts, reminders you have asked for, and service alerts. These are service messages necessary to provide the Services, not marketing. Message and data rates may apply. Message frequency depends on how you use Prael. You can stop SMS messages at any time by replying STOP, and get help by replying HELP; stopping messages on a Channel will prevent Prael from operating on that Channel.
10.2.Channels are provided by third parties: iMessage, SMS, WhatsApp, and Telegram are operated by third parties (including Apple, your mobile carrier, Meta, and Telegram). Prael does not control their availability, security, or delivery of messages, and your use of each Channel is subject to its own terms. Messages sent over some Channels may not be end-to-end encrypted. Do not send passwords, card numbers, or one-time codes to Prael in the chat; use the Vault.
10.3.Electronic communications and signatures: By using the Services, you consent to receive agreements, disclosures, notices, statements, receipts, and other communications electronically, through your Channel, the app, or email, in place of paper, to the extent permitted by applicable electronic-communications and electronic-signature laws (including, in the United States, the Electronic Signatures in Global and National Commerce Act). Your Approvals given in the chat or in-app are electronic signatures and are binding on you. You can withdraw this consent or request paper copies by contacting us, though doing so may limit your ability to use the Services. You must keep a valid phone number, a working Channel, and a compatible device to receive electronic communications.
11. Acceptable use and prohibited activities
You agree not to use the Services to:
11.1.break any law, or to launder money, finance terrorism, evade sanctions, or commit fraud;
11.2.buy, book, or pay for goods, services, or activities we prohibit and disclose in-app (which may include, for example, unlawful gambling, controlled substances, weapons, adult content, or other restricted activity);
11.3.impersonate any person, provide false information, or use another person’s identity, accounts, sign-ins, or payment credentials without authority;
11.4.instruct Prael to access, scrape, or interact with any website, app, or account in a way that breaches that service’s terms, bypasses its security or access controls, or evades its bot-detection measures;
11.5.send unsolicited, deceptive, harassing, or unlawful messages or emails through Prael, your Prael email address, or connected apps;
11.6.attempt to extract, manipulate, or override Prael’s instructions, safety controls, or Approval flow, including through prompt injection or by instructing Prael to act without Approval;
11.7.interfere with, probe, or attempt to gain unauthorised access to the Services or related systems, or introduce malware;
11.8.reverse-engineer the Services, or use them to build a competing product or to train machine-learning models, except as expressly permitted;
11.9.use the Services on behalf of an undisclosed third party, resell or share your Account, or use Prael in a manner that creates undue legal or fraud risk.
We may investigate suspected breaches and may restrict, suspend, or close Accounts and report activity to authorities as required or permitted by law.
12. AI assistant limitations and your responsibilities
12.1.Prael uses artificial intelligence, including large language models. AI output can be inaccurate, incomplete, out of date, or misinterpret your request. Prael may make mistakes when researching, summarising, filling in forms, choosing products, or proposing an Action. You should check important details (for example, names, dates, amounts, addresses, and travel documents) before you approve an Action, and verify any information Prael gives you before relying on it.
12.2.Prael is not a professional adviser. Nothing Prael says is legal, tax, financial, medical, or other professional advice. Prael’s product and merchant suggestions are generated automatically and are not endorsements.
12.3.Human oversight: Prael is designed so that you approve every Action that spends money, sends a message, books, cancels, deletes, or changes an account. You agree to use Prael with that oversight and not to attempt to remove it. Where you set spending limits or other controls, you are responsible for keeping them appropriate.
12.4.Automated decisions: Prael does not make decisions that produce legal or similarly significant effects about you without your involvement. If you believe an automated process has affected you unfairly, you may contact us at support@prael.ai.
12.5.Third-party AI providers: Prael may be powered in part by AI models and infrastructure provided by third parties. Your Content may be processed by those providers to deliver the Services, as described in the Privacy Notice. Secrets held in the Vault are never shared with AI models.
12.6.Assumption of risk: You understand that letting an AI assistant act on your behalf carries risks that do not arise when you act yourself, including the risk of misunderstanding, of a Third-Party Provider’s site changing during a task, of delays, and of an outcome you did not intend. By using Prael you accept those risks.
12.7.New and experimental features: We may offer features labelled beta, preview, experimental, or similar. These are provided for evaluation, may be changed or withdrawn without notice, and are provided without any warranty beyond what mandatory law requires.
13. Intellectual property and your content
13.1.The Services, including the Prael name, logos, software, AI models, prompts, and design, are owned by Prael or its licensors and are protected by intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Services for their intended purpose. All rights not expressly granted are reserved.
13.2.You retain ownership of the Content you submit. You grant Prael a worldwide, royalty-free licence to host, process, and use your Content as needed to operate, secure, and improve the Services and to comply with law. Output that Prael generates in response to your requests (such as research summaries, drafts, and recommendations) is yours to use, subject to these Terms and the rights of any third party whose material it includes. How we handle personal data is described in the Privacy Notice.
13.3.Mobile and web application licence: If you use the Prael app, we grant you a revocable, non-exclusive, non-transferable, limited licence to install and use the app on a device you own or control, for your personal use, in accordance with these Terms and the usage rules of the app store you obtained it from. You may not: reverse engineer, decompile, disassemble, or attempt to derive the source code of the app or the AI prompts and instructions that operate Prael; modify the app or create derivative works from it; remove any proprietary notice; use the app for any unlawful purpose or to build a competing product; or make the app available to others over a network.
13.4.Apple and Google app stores: The following applies when you obtain the app from the Apple App Store or Google Play (each an “App Distributor”): (a) your licence is limited to use on a device running Apple iOS or Android in accordance with the App Distributor’s usage rules; (b) Prael, and not the App Distributor, is responsible for the app and for any maintenance and support, and the App Distributor has no such obligation; (c) if the app fails to conform to any applicable warranty, the App Distributor may refund the price you paid for the app, if any, and to the maximum extent permitted by law has no other warranty obligation; (d) you represent that you are not located in an embargoed country or on any government prohibited-party list; (e) you must comply with applicable third-party terms (for example, your wireless data-service agreement) when using the app; and (f) the App Distributors are third-party beneficiaries of these Terms and may enforce this licence against you.
13.5.Feedback: If you give us feedback or suggestions about Prael, we may use them without restriction or compensation to you.
14. Disclaimers and limitation of liability
14.1.Disclaimers: Except as expressly stated in these Terms or as required by law, the Services are provided “as is” and “as available”, and Prael disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, that Prael will understand every request or produce accurate output, that any Action will be completed, completed on time, or completed at the price shown, or that any product, booking, price, or refund obtained through a Third-Party Provider will meet your expectations. Prael is not responsible for the acts, omissions, products, services, availability, security, or terms of any Third-Party Provider, Channel, connected app, AI provider, payment network, or blockchain network. Nothing in this Section limits rights you have under mandatory consumer-protection law.
14.2.Limitation of liability: To the maximum extent permitted by law, Prael and its affiliates, officers, directors, employees, agents, licensors, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost savings, lost opportunities, lost data, or loss of goodwill, arising out of or relating to the Services, however caused and under any theory of liability, including any Action carried out with your Approval, any Action Prael was unable to complete, any inaccurate or incomplete output, any unauthorised access resulting from your failure to secure your phone number, Channel account, or device, and any loss relating to a Third-Party Provider, a connected app, a Channel, or the Polygon network. To the maximum extent permitted by law, Prael’s total liability for all claims relating to the Services in any 12-month period is limited to the greater of the Fees you paid to Prael for the Services giving rise to the claim in that period or USD 100. These limits do not apply to liability that cannot be excluded or limited by law, or to liability for fraud or wilful misconduct.
14.3.Release: If you have a dispute with a Third-Party Provider, a Channel, a connected app, or another user, you release Prael and its affiliates from claims, demands, and damages of every kind arising out of or connected with that dispute, to the extent permitted by law. We may, but are not obliged to, help you resolve it.
14.4.Time limit for claims: To the extent permitted by law, any claim you have against Prael relating to the Services must be brought within one year of the date the claim arose, after which it is permanently barred.
14.5.Basis of the bargain: You acknowledge that the Fees (or the free provision of the Services) reflect the allocation of risk in this Section, and that Prael would not provide the Services without these limits.
15. Indemnification
To the extent permitted by law, you agree to indemnify, defend, and hold Prael and its affiliates, officers, directors, employees, and agents harmless from claims, losses, liabilities, and reasonable expenses (including reasonable legal fees) arising from: your breach of these Terms; your misuse of the Services; your violation of law; any Action carried out with your Approval; your breach of a Third-Party Provider’s, Channel’s, or connected app’s terms through your use of Prael; your use of sign-ins, cards, or accounts you were not authorised to use; instructions or Approvals given through your Account by anyone you allowed, or failed to prevent, from accessing your phone number, Channel account, or device; or your infringement of another person’s rights. We may take over the defence of any matter you must indemnify, and you agree to cooperate.
16. Suspension and termination
16.1.You may close your Account at any time in-app or by contacting us, subject to settling outstanding obligations. Closing your Account deletes your Memory, Vault contents, and connected-app links, and we will return your remaining Wallet balance to you as described in Section 16.4. Actions already approved and in progress may still be completed.
16.2.We may suspend, restrict, or terminate your access to the Services, or close your Account, for reasons that include where: (a) we are required to by law or regulation, by a competent authority, or by a partner; (b) you breach these Terms or engage in fraudulent, unlawful, or otherwise prohibited activity; (c) your activity presents undue risk to Prael, a partner, a Third-Party Provider, or a payment system, including excessive chargebacks or high-risk transactions; (d) you do not provide information we request (see Section 9), or we are unable to verify your identity or the information you provide; (e) we reasonably suspect money laundering, terrorist financing, sanctions evasion, or other financial crime; (f) a Channel, connected app, or Third-Party Provider blocks or restricts Prael’s access on your behalf; (g) your Account has been inactive or dormant for a prolonged period and you do not respond to our reactivation contact; or (h) continuing to provide the Services would create undue legal, security, operational, or reputational risk.
Where the law allows, we will give you notice before acting. In some cases, including a regulatory or law-enforcement order, suspected or confirmed fraud or financial crime, a security threat, or a risk of financial loss, we may suspend, restrict, or close your Account without prior notice. When your Account is closed, your remaining available balance is returned to you as described in Section 16.4; we do not forfeit your funds.
16.3.Provisions that by their nature should survive termination (including Sections 13, 14, 15, 16, 17, and 18) survive.
16.4.Return of your funds on closure: When your Account is closed, then subject to completing any required checks, settling amounts you owe, and any hold required by law, a partner, a court, or a regulator, we will return your remaining available Wallet balance to you by a lawful method, such as transfer of USDC to a Polygon address you control or, where required or where we cannot verify another destination, return to the original funding source. We do not forfeit your funds because your Account is closed. If we are unable to return a balance to you, we handle it as unclaimed property in accordance with the law.
17. Dispute resolution, arbitration, and class-action waiver
This Section requires most disputes to be resolved by binding individual arbitration rather than in court, and waives the right to a jury trial and to participate in a class action, except where this is not permitted by the law where you live.
17.1.Informal resolution first: Before starting a formal proceeding, you agree to contact us using Section 23 and to try in good faith to resolve the dispute informally for at least 30 days.
17.2.Agreement to arbitrate: Except as otherwise required by law, you and Prael agree that disputes arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, and, where applicable, its Mass Arbitration Supplementary Rules, as in effect when the arbitration is commenced.
17.3.Class-action waiver: Disputes will be arbitrated only on an individual basis. You and Prael waive any right to bring or participate in a class, collective, or representative action, to the extent permitted by law. If this waiver is found unenforceable for a particular claim, that claim (and only that claim) will proceed in court.
17.4.Carve-outs: Nothing in this Section prevents either party from seeking injunctive relief in court for intellectual-property or unauthorised-access claims, or from bringing a matter to a government agency or consumer regulator. Disputes between you and a Third-Party Provider are not covered by this Section and are governed by that provider’s terms.
18. Governing law
These Terms are governed by the laws of the State of New York and applicable US federal law, without regard to conflict-of-laws rules. Subject to Section 17, the state and federal courts located in New York County, New York have exclusive jurisdiction.
19. Changes to the Services and to these Terms
19.1.We may change the Services, including adding, modifying, or discontinuing features, Channels, integrations, supported merchants, or payment methods. Prael’s capabilities depend on Third-Party Providers and Channels, and a task Prael can do today may not be available tomorrow.
19.2.We may update these Terms. If a change materially affects your rights or obligations, we will give notice by a reasonable method (such as through your Channel, in-app, or by email) before it takes effect, and, where the law requires, we will give the advance notice period and any right to object or close your Account. Your continued use of the Services after a change takes effect is your acceptance of the updated Terms, except where applicable law requires your express consent.
20. Complaints
20.1.If you have a complaint, contact us using Section 23. We aim to acknowledge and resolve complaints promptly and in line with applicable law.
20.2.You may also have the right to contact the relevant regulator, including the Federal Trade Commission, or the Consumer Financial Protection Bureau. For privacy complaints, you may contact our Data Protection Officer at dpo@prael.ai or the supervisory authority described in the Privacy Notice.
21. General
21.1.Assignment: You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a merger, acquisition, financing, or sale of assets, on notice.
21.2.Entire agreement: These Terms, the Privacy Notice, and any feature-specific terms are the entire agreement between you and Prael about the Services.
21.3.Severability: If any provision is unenforceable, the rest remain in effect, and the unenforceable provision is limited to the minimum extent necessary.
21.4.No waiver: Our failure to enforce a provision is not a waiver of it.
21.5.Force majeure: Prael is not liable for delays or failures caused by events beyond its reasonable control, including outages of Channels, Third-Party Providers, connected apps, AI providers, payment networks, or the Polygon network, and acts of government.
22. Where you live
22.1.We may publish country-specific terms for some markets. Where we do, those terms form part of these Terms for customers in that market and control in the event of a conflict.
22.2.Your personal data is handled as described in our Privacy Notice, which sets out the rights available to you.
